Andrew is an advisor to both emerging and established businesses, including owner-managed companies. He helps clients incorporate and organize their businesses, settle shareholder agreements, partnership agreements and other fundamental organizational documents and navigate corporate governance and maintenance issues. He frequently assists with the execution of complex corporate reorganizations and other tax-driven transactions, including transactions undertaken for estate-planning purposes.

Andrew regularly assists Canadian and international clients of all sizes with acquisition, combination and sale transactions. He is relied upon to draft and negotiate letters of intent, purchase and sale agreements, subscription agreements and other material transaction documents, to help clients implement complex transactions and to address pre- and post-closing regulatory and organizational matters, including corporate and employment matters. 

Andrew helps employers mitigate legal risk throughout the employment life cycle. He assists with the preparation and negotiation of executive and other employment agreements, recommends updates to organizational policies, agreements and practices to maintain compliance with changing laws and provides advice in relation to employee terminations, lay-offs, leaves of absence and other potentially contentious employer-employee scenarios. Andrew frequently helps clients identify and address employment liability in the context of large and small mergers and acquisitions.
